Mattlhy Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Mattlhy websites, mobile applications, and related services (collectively, the "Platform") operated by Mattlhy ("Mattlhy," "we," "us," "our"). By creating an account, clicking "I Agree," or using the Platform, you agree to these Terms.

If you do not agree, do not use the Platform.

1. Who We Are (Technology Platform Only)

Mattlhy provides a technology platform that helps riders and independent third-party drivers connect to arrange transportation.

WE DO NOT PROVIDE TRANSPORTATION SERVICES. We are not a motor carrier, common carrier, transportation carrier, taxi service, charter party carrier, or transportation network company ("TNC") unless and until we explicitly state otherwise in writing. Transportation is provided by independent third-party drivers, not Mattlhy.

You understand that certain jurisdictions (including California) regulate app-based "prearranged transportation for compensation," and definitions/requirements may apply based on how the service operates. We may restrict, modify, or suspend service in any location to comply with applicable law.

2. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent you are eligible to form a binding contract and are not prohibited from using the Platform under applicable laws.

3. Account Registration and Security

You must provide accurate and complete information and keep it updated. You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials. Notify us immediately of any suspected unauthorized access.

We may (but are not obligated to) verify information you provide, including phone number/email verification or other checks, and we may refuse registration or suspend accounts to protect Platform integrity, user safety, or legal compliance.

4. Platform Rules and Prohibited Conduct

You agree not to:

  • Use the Platform for illegal purposes or in violation of any law;
  • Harass, threaten, stalk, discriminate against, or abuse others;
  • Impersonate any person or misrepresent your identity;
  • Interfere with or disrupt the Platform (including probing, scanning, or testing vulnerabilities);
  • Scrape, harvest, or collect data without permission;
  • Circumvent security features or access controls;
  • Use the Platform to facilitate unsafe, fraudulent, or exploitative conduct.

We may investigate and take action (including suspension or termination) at our discretion.

5. Safety; No Emergency Services; No Background Checks

NOT AN EMERGENCY SERVICE

Do not rely on Mattlhy for emergency assistance. If you need emergency help, call 911 (or local emergency services).

NO BACKGROUND CHECKS

Unless we clearly state otherwise in writing, Mattlhy does not perform criminal background checks, DMV checks, or identity verification of drivers or riders beyond basic account controls. You are responsible for using your own judgment and taking appropriate safety precautions when interacting with other users.

6. Driver Terms (Driver Mode)

If you register or use the Platform as a driver ("Driver"), you agree to the following:

6.1 Independent Contractor; No Employment

Drivers are independent contractors and are not employees, agents, joint venturers, partners, or representatives of Mattlhy. Drivers control whether and when to offer rides, and how to provide transportation (subject to applicable law and basic Platform rules). Nothing in these Terms creates an employment relationship.

6.2 Driver Responsibilities

Drivers are solely responsible for:

  • Maintaining a valid driver's license and complying with all driving laws;
  • Maintaining vehicle registration and keeping the vehicle in safe operating condition;
  • Maintaining insurance meeting legal requirements (including any commercial coverage required by law);
  • All taxes and reporting obligations;
  • Their conduct with riders and the safe provision of transportation.

Insurance Notice: Unless we explicitly state otherwise in writing, Mattlhy does not provide auto insurance for Drivers. Drivers must ensure their personal or commercial policy covers the use of their vehicle for this purpose.

6.3 No Control Over Transportation

Mattlhy does not control Drivers' driving behavior, routes, vehicle maintenance, or compliance with laws. We may provide tools (e.g., navigation, estimated time) for convenience only.

6.4 Driver Pricing

Drivers maintain full discretion to set their own pricing and negotiate payment terms directly with Riders. Mattlhy may provide estimated market rates for convenience only, but these are not binding. The final fare is a private agreement between the Driver and the Rider.

7. Rider Terms

If you use the Platform as a rider ("Rider"), you agree:

  • To provide accurate pickup/drop-off information;
  • To be present and ready at pickup;
  • To treat Drivers and vehicles respectfully and follow safety instructions (e.g., seat belts);
  • Not to request illegal activity or transport of prohibited items.

Riders are responsible for their own conduct and decisions, including whether to accept a ride.

8. Payments, Fees, and Taxes

8.1 Current Payments (Direct Settlement)

Currently, Mattlhy does not process payments. Payments are made directly between Riders and Drivers using methods they choose (e.g., cash, Venmo, Zelle, Cash App). Mattlhy is not responsible for payment disputes, chargebacks, uncollected fees, or collections.

8.2 Future In-App Payments / Service Fees

We may add in-app payments, service fees, promotions, cancellation/no-show fees, or other charges in the future ("Payment Features"). If we do, additional terms ("Payment Terms") will apply and we will present them to you in the Platform. By using Payment Features, you agree to the Payment Terms. We may use third-party payment processors, and you agree their terms may apply.

8.3 Taxes

Drivers are solely responsible for reporting and paying any taxes related to amounts they receive from Riders.

9. Cancellations, No-Shows, and Disputes

Because Mattlhy is a technology platform and does not currently process ride payments, cancellation policies and no-show fees are matters to be agreed upon directly between the Driver and Rider. Mattlhy does not mediate payment disputes between users.

10. User Content; Reviews; Feedback

"User Content" includes messages, profile info, ratings, reviews, and other content you submit. You grant Mattlhy a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (for formatting), and display User Content for operating and improving the Platform.

If you submit feedback or suggestions, you grant us the right to use them without restriction or compensation.

11. Communications and Text Messages

You consent to receive communications from us electronically (email, in-app notices, push notifications).

SMS/Phone: If you provide a phone number, you consent to receive transactional or service-related texts/calls (e.g., authentication, ride coordination, safety alerts). Message and data rates may apply. You can opt out of promotional texts as described in the message or in the Platform settings.

12. Privacy and Location Data

Our collection and use of personal information is described in our Privacy Policy.

12.1 Location Data

Drivers (background location): If you enable Driver mode and grant permissions, we may collect precise location data, including in the background (e.g., when the app is closed), to support core functions such as ride coordination, pickup matching, safety features, fraud prevention, and support.

Riders: We may collect precise location while using the app (and background if enabled) to support pickup/drop-off and safety features.

You can control location permissions in your device settings, but disabling permissions may limit Platform functionality.

12.2 California Privacy Rights

If you are a California resident, you may have rights under California privacy laws (including rights to know/access, delete, correct, and limit certain uses of sensitive personal information such as precise geolocation). See our Privacy Policy and instructions for submitting requests.

13. Third-Party Services

The Platform may integrate third-party services (e.g., authentication, messaging, maps, payments). Third-party terms and privacy policies may apply. We are not responsible for third-party services.

14. Assumption of Risk

Ridesharing and transportation involve inherent risks, including accidents, injuries, property damage, theft, harassment, or assault. You voluntarily assume all risks arising from interactions with other users and from transportation arranged via the Platform.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATTLHY IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF DRIVERS, RIDERS, OR OTHER THIRD PARTIES.

15. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." To the maximum extent permitted by law, Mattlhy disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the Platform will be uninterrupted, secure, or error-free.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATTLHY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATTLHY'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID TO MATTLHY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (IF ANY).

Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the minimum permitted by law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Mattlhy and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your interaction with another user; or (d) your violation of any law or third-party rights.

18. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

18.1 Informal Resolution First

Before starting arbitration or a court action, you agree to contact us at support@mattlhy.com with a brief written description of the dispute and your contact information. The parties will attempt to resolve the dispute informally for at least 30 days.

18.2 Binding Arbitration

Except for claims that qualify for small claims court or disputes seeking injunctive relief for intellectual property or unauthorized access, any dispute arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (as applicable).

Arbitration location/format: The arbitration may take place in Los Angeles County, California, or remotely (video/phone), as permitted by the AAA rules and the arbitrator.

Fees: Payment of arbitration fees will follow AAA rules. For consumer disputes, we will pay the business portion of AAA fees and arbitrator compensation as required by AAA rules; you are responsible only for the consumer filing fee (which may be waived by AAA in certain circumstances).

18.3 Class Action Waiver

YOU AND MATTLHY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

18.4 Small Claims Exception

Either party may bring an eligible claim in small claims court instead of arbitration.

18.5 30-Day Arbitration Opt-Out

New users may opt out of arbitration within 30 days of first accepting these Terms by sending notice to support@mattlhy.com including: name, account email/phone, and a clear statement opting out. Opting out does not affect your ability to use the Platform.

19. Suspension and Termination

We may suspend or terminate your account or access to the Platform at any time for safety, legal compliance, suspected fraud, or violation of these Terms. You may stop using the Platform at any time. Sections that by their nature should survive termination will survive (including arbitration, limitation of liability, indemnity).

20. Governing Law

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules, except to the extent federal law applies (e.g., the Federal Arbitration Act for arbitration).

21. Changes to These Terms

We may update these Terms. If changes are material, we will provide reasonable notice (e.g., in-app notice or email). The "Last Updated" date will change. Continued use after the effective date means you accept the updated Terms.
